This Arena SaaS Services Agreement ("Agreement") sets forth the terms and conditions under which BEIJING VSTECS CLOUD TECHNOLOGY CO., LTD ("VSTECS", "we" or "our") will make available certain services and customer ("Customer") will be permitted to use such services.

Arena SaaS 服务协议(“协议”)规定了北京伟仕云安科技有限公司(“VSTECS”、“我们”或“我们的”)向客户(“客户”)提供某些服务以及授权客户使用这些服务的条款和条件。

 

VSTECS may unilaterally update this Agreement from time to time without additional notice to Customer, provided such changes do not materially change this Agreement. VSTECS will not be bound by, and specifically objects to, any term, condition, or other provision that is different from or in addition to this Agreement (whether or not it would materially alter this Agreement) that is proffered by Customer in any receipt, acceptance, confirmation, correspondence, or otherwise, unless VSTECS specifically agrees to such provision in writing.

VSTECS 可随时单方面更新本协议,而无需另行通知客户,前提是此类变更不会对本协议造成实质性改变。除非 VSTECS 以书面形式明确同意,对于客户在任何收据、接受函、确认函、信函或其他文件中提出的与本协议不同或附加的任何条款、条件或其他规定(无论是否会对本协议作出实质性改变),VSTECS 明确反对且不受此种条款、条件或其他规定约束。

 

This Agreement consists of the Quote (as defined in Section 1), the SOW (as defined in Section 4.1) and this Agreement. In the event of conflict between those documents, the following order of precedence shall apply: i) the Quote, ii) the SOW, and iii) this Agreement.

本协议由报价单(定义见第 1 条)、SOW(定义见第 4.1 条)和本协议组成。若上述文件之间存在冲突,应遵循以下优先顺序:i) 报价单,ii) SOW,和iii) 本协议。

  1. DEFINITIONS
    定义
    • "Customer Data" means the data inputted by VSTECS, Customer or its Users for Customer's use of the SaaS Services.
      “客户数据”指 VSTECS、客户或客户的用户为客户使用 SaaS 服务而输入的数据。

    • "Documentation" means user online help system, and any other materials, including manuals, updates thereto, in any form or medium made generally available by VSTECS to Users, regarding the proper installation and use of the SaaS Services.
      “文件”是指用户在线帮助系统,以及 VSTECS 以任何形式或媒介向用户普遍提供的关于正确安装和使用 SaaS 服务的任何其他材料,包括手册及其材料的更新。

    • "Force Majeure" means an objective event where its occurrence is unforeseeable, unpreventable and unavoidable, including but not limited to earthquake, storm, flood, fire or other acts of nature, epidemics, war, riot, public disturbance, strike or lock outs, and/or government actions.
      “不可抗力”是指不能预见、不能避免且不能克服的客观事件,包括但不限于地震、风暴、洪水、火灾或其他自然现象、流行病、战争、暴乱、公共骚乱、罢工或停工和/或政府行为。

    • "Licensors" mean Parametric Technology (Shanghai) Software Co., Ltd. Suzhou Branch who grants licenses of certain intellectual property rights and technologies over the Services to VSTECS for the sole purpose to enable VSTECS to operate and provide Services in Chinese market, as well as its affiliates from whom it licenses in the aforementioned intellectual property rights and technologies.
      “许可方”是指出于允许 VSTECS 在中国市场中运营并提供服务的唯一目的而向 VSTECS 授予与服务相关的某些知识产权和技术的许可的参数技术(上海)软件有限公司苏州分公司及向其提供上述知识产权和技术许可的其关联方。

    • "Quote(s)" means the ordering documents issued by VSTECS for supply of Services hereunder, including any annex thereto, that are entered into between Customer and VSTECS from time to time.
      “报价单”指客户与 VSTECS 之间不时签订的、由 VSTECS 为提供本协议项下的服务而签发的订购文件,包括其任何附件。

    • "SaaS Service(s)" means the web-based software offerings provided as services by VSTECS located at the secure website https://app.arenaplm.cn/, and specifically identified in the applicable Quote.
      SaaS 服务”是指 VSTECS 在安全网站 https://app.arenaplm.cn/ 上作为一项服务而提供的基于网络的软件产品,具体会在适用的报价单中予以明确。

    • "Support" means ongoing maintenance and technical support services for the applicable SaaS Services, as specifically set forth in Section 2.3 below.
      “支持”是指针对相应 SaaS 服务的持续性的维护及技术支持服务,具体规定见下文第 2.3 条。

    • "Professional Services" means all software implementation, data migration, training, configuration, consulting, and professional services performed by VSTECS or its authorized partners on behalf of VSTECS to Customer pursuant to this Agreement.
      “专业服务”是指由 VSTECS 或代表 VSTECS 的授权合作方根据本协议向客户提供的所有软件实施、数据迁移、培训、配置、咨询和专业服务。

    • "Services" mean each SaaS Service, Support, and Professional Services, collectively.
      “服务”是指每项 SaaS 服务、支持服务和专业服务的统称。

    • "Subscription Term" for each SaaS Service means the period that Customer has the right to use such SaaS Service and associated Documentation as set forth in the applicable Quote, including the Initial Term and any Renewal Term(s).
      “订阅期限”,就每项 SaaS 服务而言,是指客户有权使用报价单规定下的 SaaS 服务和相关文档的期限,包括初始期限和任何延续期限。

    • "Users" means individuals who are authorized by Customer to use the applicable SaaS Services. Users are limited to Customer's employees, consultants, subcontractors, business partners and agents who are directly involved in the utilization of the SaaS Services solely in support of Customer's internal business purposes. Users are subject to the limitation on the number of Users indicated in the Quote. User accounts cannot be "shared" or used by more than one individual.

  2. USE OF THE SAAS SERVICES
    SaaS 服务的使用
    • 2.1. 
      Use of the SaaS Services and Documentation. Subject to the terms and conditions of this Agreement, VSTECS hereby grants to Customer and Customer hereby accepts from VSTECS a limited, non-exclusive, revocable, non-transferable, non-sublicensable right during the applicable Subscription Term to allow Users to use the SaaS Services and Documentation solely for Customer's internal business purposes and solely in accordance with this Agreement.

    • 2.2. 
      Use Limitations and Customer's Responsibilities.

      • 2.2.1. 
        Customer's right to use each SaaS Service is subject to and contingent upon Customer's compliance with the limitations on Customer's use of such SaaS Service specified in the Agreement including user limitations referenced in Documentation and Quote.
        客户使用每项 SaaS 服务的权利取决于并以客户遵守本协议规定的关于客户使用该 SaaS 服务的限制(包括文档和报价单中提到的用户限制)为条件。
      • 2.2.2. 
        Customer may only use the SaaS Services during the Subscription Term and subject to the number of authorized Users identified in the Quote.
        客户只能在订阅期限内使用 SaaS 服务,并以报价单中注明的授权用户数量为限。
      • 2.2.3. 
        Except as otherwise explicitly provided in this Agreement or as may be expressly permitted by applicable law, Customer shall not, and will not permit or authorize third parties to: (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the SaaS Services or Documentation in any form or media or by any means; or attempt to reverse compile, disassemble, reverse engineer, or otherwise reduce to human-perceivable form all or any part of the SaaS Services; (ii) access all or any part of the SaaS Services or Documentation in order to build a product or service that competes with the Services; (iii) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit the SaaS Services or Documentation, or otherwise make the SaaS Services or Documentation available to any third party other than Users; (iv) circumvent or disable any security or other technological features or measures of the SaaS Services; (v) attempt to gain unauthorized access to the SaaS Services or their related systems or networks; (vi) use the SaaS Services to store or transmit infringing, inappropriate, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party rights; (vii) use the Services to store or transmit malicious code; or (viii) interfere with or disrupt the integrity or performance of the Services or third-party data contained therein.
        除非本协议另有明确规定或适用法律明确允许,否则客户不得、也不得允许或授权第三方:(i)试图通过任何形式、媒介或以任何方式对 SaaS 服务或文档的全部或任何部分进行拷贝、修改、复制、创建衍生作品、盗用(frame)、建立镜像、再发行、下载、展示、传播或分发;或试图对 SaaS 服务的全部或任何部分进行反向编译、反汇编、反向工程或以其他方式还原为人类可感知的形式。(ii)为开发与服务相竞争的产品或服务而访问 SaaS 服务或文档的全部或任何部分;(iii)许可、出售、租赁、转移、转让、分发、展示、披露或以其他商业方式利用 SaaS 服务或文档,或以其他方式将 SaaS 服务或文档提供给用户之外的任何第三方;(iv)规避或禁用 SaaS 服务的任何安全或其他技术特征或措施;(v)试图不经授权访问 SaaS 服务或其相关系统或网络。(vi)利用 SaaS 服务存储或传输侵权、不适当、诽谤或其他非法或侵权的内容,或存储或传输侵犯第三方权利的资料;(vii)利用服务存储或传输恶意代码;或(viii)干扰或破坏服务或其中包含的第三方数据的完整性或性能。
      • 2.2.4. 
        Credentials for access to the SaaS Services may not be used by more than one individual. Customer is responsible for (i) use of the SaaS Services by all Users that access the SaaS Services with Customer's account credentials and (ii) maintaining the confidentiality of the administrator and User logon identifications, passwords and account information.
        用于访问 SaaS 服务的证书不得由一名以上的个人使用。客户应(i)对所有用客户账户证书访问 SaaS 服务的用户的 SaaS 服务使用行为负责,以及(ii)负责维护管理员和用户的登录身份信息、密码和账户信息的保密性。
      • 2.2.5. 
        Customer shall (i) be responsible for Users' compliance with this Agreement; (ii) be responsible for the accuracy, quality, integrity, and legality of Customer Data and of the means by which Customer acquired Customer Data; (iii) use commercially reasonable efforts to prevent unauthorized access to or use of each SaaS Service and all Documentation and immediately notify VSTECS in writing of any such unauthorized access or use or violation by Customer or its Users of this Agreement; (iv) use each SaaS Service only in accordance with the Documentation; and (v) use each SaaS Service and all Documentation in compliance with all applicable laws and government regulations. If there is unauthorized use of any SaaS Services or Documentation by anyone who obtained access to such SaaS Services or Documentation directly or indirectly through Customer, Customer will take all steps reasonably necessary to terminate the unauthorized use. Customer will cooperate and assist with any actions taken by VSTECS to prevent or terminate unauthorized use of SaaS Services or any Documentation.
        客户应(i)负责确保用户遵守本协议;(ii)对客户数据的准确性、质量、完整性和合法性以及客户获取客户数据的方式负责。(iii)使用商业上合理的努力来防止每项 SaaS 服务和所有文档被未经授权访问或使用,并立即以书面形式通知 VSTECS 任何此类客户或其用户违反本协议未经授权的访问或使用情况;(iv)仅按照文档使用每项 SaaS 服务;以及(v)在使用每项 SaaS 服务和所有文档时遵守所有适用法律和政府法规。如果有任何未经授权直接或间接通过客户访问该 SaaS 服务或文档的人使用任何 SaaS 服务或文档,客户将采取一切合理的必要措施以终止其未经授权的使用。客户将配合并协助 VSTECS 采取任何行动,防止或终止对 SaaS 服务或任何文档的未经授权的使用。
    • 2.3. 
      Support and Service Level Agreement. VSTECS will provide Customer with its standard levels of support that it provides to other customers located at https://app.arenaplm.cn/feedback/ ("Support"). Furthermore, the Customer agrees to the Service Level Agreement ("SLA") set forth at https://status.arenaplm.cn/, which may be modified by VSTECS from time to time.
      支持服务及服务级别协议。VSTECS 将向客户提供其向其他客户提供的标准级别的支持服务(“支持服务”),位于如下网址:https://app.arenaplm.cn/feedback/。此外,客户同意服务级别协议(“SLA”),位于如下网址:https://status.arenaplm.cn/VSTECS 可能不时地修改该协议。
    • 2.4. 
      Suspension. VSTECS may immediately suspend Customer's account and access to the Services if (i) Customer fails to make any payment due within five (5) working days after VSTECS has provided Customer with written notice of such failure; or (ii) Customer violates Section 2.2 (Use Limitations and Customer's Responsibilities) or Section 7 (Ownership and Confidentiality). Any suspension by VSTECS of the Services under the preceding sentence will not relieve Customer of its payment obligations hereunder.
      暂停服务。 VSTECS 可在下列情况下立即暂停客户账户及服务的访问:(i)客户未能在 VSTECS 向客户发出书面通知后五(5)个工作日内支付任何到期款项;或(ii)客户违反第 2.2 条(使用限制和客户责任)或第 7 条(所有权和保密)。 VSTECS 根据前述条款暂停服务的,不免除客户在本协议下的付款义务。
  3. CUSTOMER DATA
    客户数据
    • 3.1. 
      VSTECS hereby acknowledges and agrees that all rights, title, and interest in and to Customer Data are and shall remain the property of Customer and all intellectual property rights including copyright, trademark, and trade secret rights in Customer Data are and will remain the property of Customer. Customer hereby grants to VSTECS, throughout the term of this Agreement and after the term as necessary for any of VSTECS' post-termination obligations to Customer, the necessary rights or license to use Customer Data solely as necessary for VSTECS to perform its obligations hereunder.
      VSTECS 特此确认并同意,客户数据的所有权利、所有权及权益,以及客户数据的所有知识产权,包括客户数据的著作权、商标及商业秘密,均属于并将会继续属于客户财产。在本协议的整个期限内以及在期限结束后,客户特此授予 VSTECS 仅为履行其在本协议下的义务而使用客户数据的必要权利或许可。
    • 3.2. 
      VSTECS will maintain all Customer Data in accordance with its Privacy Policy located at https://www.arenaplm.cn/privacy/website-privacy/ and its Security Statement located at https://www.arenaplm.cn/security/. Customer will not provide VSTECS with any Customer Data that includes data restricted by export laws and regulations and other mandatory law. Customer shall provide VSTECS, in the form and format and on the schedule specified by VSTECS, all Customer Data reasonably required for VSTECS' performance hereunder. Customer grants and agrees to grant to VSTECS and the Licensor a perpetual, non-exclusive, transferable, sublicensable, royalty-free license to use such Customer Data in order to provide the Services to Customer and the Users and as necessary to access the SaaS Services to monitor and diagnose performance-related issues and to improve the Services. Additionally, Customer agrees that VSTECS may share the Customer Data with the Licensor to collect, develop, create, extract, or otherwise generate statistics and other information and to otherwise compile, synthesize, and analyze such Customer Data in an anonymized manner ("Blind Data"). Customer shall be responsible for maintaining back-up on all Customer Data.
      VSTECS 将根据其网址位于 https://www.arenaplm.cn/privacy/website-privacy/ 的隐私政策和网址位于 https://www.arenaplm.cn/security/ 的安全声明,维护所有客户数据。客户不会向 VSTECS 提供任何包含受出口管制法律法规和其他强制性法律法规所限制的客户数据。客户须按 VSTECS 指定的形式、格式及时间安排,向 VSTECS 提供 VSTECS 为履行本协议而合理需要的所有客户数据。客户授予并同意授予 VSTECS 和许可方一项永久的、非独家的、可转让的、可转授的、免许可费的许可,使用这些客户数据以便为客户和用户提供服务、在必要时访问 SaaS 服务以监测和诊断与性能有关的问题以及改进服务。此外,客户同意 VSTECS 可与许可方共享客户数据,以收集、开发、创建、提取或以其他方式生成统计数据和其他信息,并以匿名方式汇编、合成和分析此类客户数据(“匿名数据”)。客户应负责维护所有客户数据的备份。
    • 3.3. 
      If Customer provides any feedback to VSTECS concerning the functionality or performance of the SaaS Services, including identifying potential errors, improvements or changes thereto (collectively, "Feedback"), the Feedback shall not be considered confidential information of Customer, and Customer hereby assigns to VSTECS (and, as far as necessary, the Licensors of VSTECS) all right, title, and interest in and to the Feedback. VSTECS is free to share the Feedback with the Licensors for any purpose and without any payment or restriction.
      如果客户向 VSTECS 提供任何有关 SaaS 服务的功能或性能的反馈,包括识别到的潜在错误、改进或改变(统称为“反馈”),该反馈不应视为客户的保密信息,客户特此将反馈的所有权利、所有权和利益转让给 VSTECS (以及在必要时转让给 VSTECS 的许可方)。VSTECS 可出于任何目的自由地与许可方共享,且无需支付任何费用或受到限制。
    • 3.4. 
      Customer further acknowledges and agrees that, except as prohibited by applicable law and regulatory requirements, VSTECS may provide necessary Customer subscription information to the Licensors, for the limited purpose of enabling the Licensors to perform its obligations to VSTECS under their separate agreements and for the improvement of SaaS Services.
      客户进一步承认并同意,除适用法律和监管要求禁止的情况外,VSTECS 可向许可方提供必要的客户订阅信息,其目的仅限于使许可方根据其与 VSTECS 之间的单独协议向 VSTECS 履行其义务并改进 SaaS 服务。
  4. PROFESSIONAL SERVICES
    专业服务
    • 4.1. 
      For each request for Professional Services hereunder, the parties shall reference such Professional Services in the Quote. Additionally, the parties may in good faith negotiate a statement of work for Professional Services ("SOW"), which shall be part of this Agreement. A SOW shall be a separate document executed by the parties. Each SOW will specify the scope of work and specific terms of the project(s) to be performed by VSTECS or its authorized partners on behalf of VSTECS. Travel expenses, including reasonable transportation, lodging, and meal expenses incurred in relation to the provision of Professional Services will be reimbursed by Customer and are in addition to the specified Professional Services fees. Customer confirms that its decision to purchase the Services is not based on, or contingent on, the delivery of any Professional Services or any particular future feature or functionality. The parties agree that all Professional Services shall be deemed to be delivered and accepted at the end of the applicable Term, whether or not actually completed.
      对于本协议下的每项专业服务需求,双方应将此类专业服务在报价单中提及。此外,双方可以善意地协商一份有关专业服务的工作声明书(“SOW”),SOW 应作为本协议的一部分。SOW 应是双方签署的单独文件。每份 SOW 将具体说明 VSTECS 或其授权合作伙伴代表 VSTECS 执行项目的工作范围和具体条款。差旅费用(包括与提供专业服务有关的合理交通、住宿和餐饮费用)将由客户报销,并由客户在已明确的专业服务费用之外额外支付。客户确认,其购买服务的决定不是基于或取决于任何专业服务的交付或任何特定的未来特性或功能。双方同意,无论专业服务是否已实际完成,所有专业服务在适用的期限结束时应被视为已交付和接受。
  5. PAYMENT AND FEES
    付款和费用
    • 5.1. 
      Fees. Customer will pay VSTECS the fees and any other amounts owing under this Agreement, plus any value added tax or other applicable taxes which are due as a result of this Agreement. Customer is responsible for paying all fees for Services, regardless of whether Services are actually used or implemented.
      费用。客户须向 VSTECS 支付本协议下的费用及任何其他应付款项,并附加任何增值税或其他因本协议而应缴付的适用税项。无论服务是否被实际使用或实施,客户均应支付服务的所有费用。
    • 5.2. 
      Renewal Fees. VSTECS will give Customer at least thirty (30) days' notice (which may be by email) of any increase in the Service fees,or any new charges and fees, prior to the end of the Initial Term (as defined in Section 6.2) or any Renewal Term (as defined in Section 6.2).
      续费。VSTECS 将在初始订阅期(定义见第 6.2 条)或任何延续订阅期(定义见第 6.2 条)结束前,至少提前三十(30)天(可能是以电子邮件形式)向客户通知任何服务费的增加或任何新增的收费和费用。
    • 5.3. 
      Invoices and Payment Terms.

      • 5.3.1. 
        The fees relating to accessing each SaaS Service (the "Subscription Fees") for the Initial Term will be invoiced upon execution of the applicable Quote and, for each Renewal Term, at least thirty (30) days prior to the commencement of such Renewal Term. Fees for Professional Services will be invoiced upon execution of the applicable Quote, unless otherwise specified in such Quote.
        初始订阅期内使用每项 SaaS 服务的费用(“订阅费”)的相关账单将在适用的报价单订立时出具;对于每个延续订阅期,账单应至少在该延续订阅期开始前三十(30)日出具。除非报价单另有约定,专业服务费用的账单将在适用的报价单订立时出具。
      • 5.3.2. 
        Unless otherwise expressly set forth on the applicable Quote, Customer will pay all amounts due before the start of Initial Term. Customer acknowledges that Subscription Fees for Renewal Terms are due by the first day of such Renewal Term.
        除非适用的报价单另有明确约定,客户将在初始订阅期开始前支付所有应付款项。客户确认,延续订阅期的订购费应在相应延续订阅期的第一天开始前支付。
      • 5.3.3. 
        If Customer believes that VSTECS has billed Customer incorrectly, Customer must notify VSTECS thereof in writing no later than fifteen (15) days after the date of the invoice, otherwise the invoice amount shall be conclusively deemed correct by the parties.
        如果客户认为 VSTECS 向客户出具了错误的账单,客户应当在账单出具之日起十五(15)日内以书面形式通知 VSTECS,否则账单金额将被视为已由双方最终确认无误。
    • 5.4. 
      Late Payments. Any amount not paid when due will be subject to finance charges equal to 0.05% of the unpaid balance per day or the highest rate permitted by applicable law, whichever is less, determined and compounded daily from the date due until the date paid. Customer will reimburse any costs or expenses (including, but not limited to, collection agency fees, reasonable attorneys' fees, and court costs) incurred by VSTECS to collect any amount that is not paid when due.
      逾期付款。任何到期未付的款项将被收取违约金,每日金额相当于未付余额的 0.05% 或适用法律允许的最高利率(以较低者为准),并从到期之日到支付之日按日确定并按复利计算。并且,客户将负责报销 VSTECS 为收取任何到期未付的款项而产生的任何成本或费用(包括但不限于催款机构的费用、合理的律师费和法院费用)。
    • 5.5. 
      Amounts due from Customer under this Agreement may not be withheld or offset by Customer against amounts due to VSTECS for any reason.
      客户不得以任何理由抵扣或抵消本协议项下客户应向 VSTECS 支付的款项。
  6. TERM, RENEWAL AND TERMINATION
    期限、延续和终止
    • 6.1. 
      Term. This Agreement will continue for effectiveness as long as there is a Quote still in effect unless this Agreement is terminated earlier as set forth herein. In the event there are no Quotes in effect, this Agreement will automatically terminate.
      期限。除非因本协议规定提前终止,本协议在报价单有效的期间内持续有效。若没有有效的报价单,本协议将自动终止。
    • 6.2. 
      Subscription Term. The Subscription Term shall commence on the Subscription Start Date. The "Subscription Start Date" shall be the date set forth in the Quote; if no such date is specified, the date of Customer signature on the Quote;in the event VSTECS provides SaaS Services to Customer after the initially agreed Subscription Start Date, the Subscription Start Date shall be adjusted as the date VSTECS provides access to the SaaS Services to the Customer. The Subscription Term will be in effect for the term specified in the Quote, provided that if no such term is indicated in the Quote the initial term shall be for one (1) year ("Initial Term"). The term of each Subscription Term will automatically renew for successive one (1) year periods unless otherwise identified in an applicable Quote (each, a "Renewal Term") unless a party provides the other party written notice thirty (30) days in advance of the expiry of the Initial Term or then-current Renewal Term, as applicable, of its desire to amend the duration of the Renewal Term, modify number of Users or terminate the Quote. Customer is responsible and will pay VSTECS all Subscription Fees under a Quote for the entire Subscription Term and any applicable Renewal Term, regardless of whether SaaS Services is actually implemented, "gone live", or in production.

      Early Termination. This Agreement will terminate (i) sixty (60) days after written notice from VSTECS without specifying any cause, or (ii) thirty (30) days after written notice from VSTECS specifying a breach of this Agreement by the Customer if that breach is not, within that thirty (30) day period, remedied by the Customer to VSTECS's satisfaction. UNLESS OTHERWISE PROVIDED EXPLICITLY BY APPLICABLE LAW, CUSTOMER MAY NOT EARLY TERMINATE THIS AGREEMENT.

    • 6.4. 
      Data Transition Assistance. Provided Customer makes a written request no later than thirty (30) days following the effective date of termination or expiration, VSTECS will provide Customer with a one-time opportunity to access and export Customer Data from the SaaS Services, subject to then-current Professional Services fees. In addition, following expiration or termination of this Agreement for any reason, VSTECS shall be permitted to delete Customer Data, at any time after thirty (30) days following expiration or termination of this Agreement.

      Survival. Sections 2.2 (Use Limitations and Customer's Responsibilities), 3 (Customer Data), 5 (Payment and Fees), 6 (Term, Renewal, and Termination), 7 (Ownership and Confidentiality), 8.2 (Disclaimer), 10 (Limitations of Liability), and 11 (General) shall survive the termination of this Agreement.

  7. OWNERSHIP AND CONFIDENTIALITY

      Ownership. Ownership of the Services, any related Documentation, copies, modifications and derivatives of the foregoing (in whole or in part), and all related copyright, patent, trade secret and other intellectual property rights and proprietary rights, are and will remain the exclusive property of VSTECS and/or its Licensors. Without limiting the foregoing, VSTECS and its Licensors shall be under no obligation to provide Customer any information regarding the methods and processes for configuring the Services. Customer hereby makes all assignments necessary to provide VSTECS and/or its Licensors the ownership rights set forth in the preceding sentence.

      Definition of Confidential Information. "Confidential Information" means all confidential information disclosed by or otherwise obtained from a party ("Disclosing Party") to or by the other party ("Receiving Party"), whether orally, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer's "Confidential Information" includes Customer Data; VSTECS' "Confidential Information" includes each SaaS Service, all Documentation, and the product of all Services and VSTECS' financial, security, technical, or similar information; and "Confidential Information" of each party shall include the terms and conditions of this Agreement and each Quote and SOW (if applicable), as well as business and marketing plans, technology and technical information, product plans and designs, and business processes disclosed by or on behalf of such party. However, "Confidential Information" does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party.

      Protection of Confidential Information. Except as otherwise permitted in writing by the Disclosing Party, the Receiving Party shall (i) use the same degree of care that it uses to protect the confidentiality of its own confidential information of like kind (but in no event less than reasonable care) and not to disclose or use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement, and (ii) limit access to Confidential Information of the Disclosing Party to those of its employees, contractors, and agents who need such access for purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party containing protections no less stringent than those herein. The Receiving Party may disclose Confidential Information of the Disclosing Party if it is compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. As of the Effective Date, the confidentiality protections in this Section 7 shall supersede any prior confidentiality agreements executed by the parties with respect to Confidential Information.

  8. WARRANTIES AND DISCLAIMER

      Warranties. VSTECS warrants that the Service shall function substantially in accordance with the then applicable Documentation accompanying the Services.

EXCEPT AS SET FORTH IN SECTION 8.1 (WARRANTIES), EACH SAAS SERVICE, ACCESS THERETO, THE DOCUMENTATION, AND ANY SERVICES PROVIDED HEREUNDER ARE PROVIDED ON AN "AS IS" BASIS, AND VSTECS AND ITS AFFILIATES AND AGENTS (A) DO NOT MAKE, AND HEREBY EXPRESSLY DISCLAIM, ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUALITY, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE; (B) DO NOT WARRANT THAT ACCESS TO ANY SAAS SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION, SOFTWARE, OR OTHER MATERIAL ACCESSIBLE OR PROVIDED THROUGH ANY SAAS SERVICES IS ACCURATE, COMPLETE, OR FREE OF VIRUSES OR OTHER HARMFUL CONTENTS OR COMPONENTS; (C) SHALL IN NO EVENT BE LIABLE TO CUSTOMER OR ANYONE ELSE FOR ANY INACCURACY, ERROR, OR OMISSION IN, OR LOSS, INJURY, OR DAMAGE (INCLUDING LOSS OF DATA) CAUSED IN WHOLE OR IN PART BY, OR FAILURES, DELAYS, OR INTERRUPTIONS OF ANY SAAS SERVICES, DOCUMENTATION, OR SERVICES. VSTECS EXERCISES NO CONTROL OVER AND EXPRESSLY DISCLAIMS ANY LIABILITY ARISING OUT OF OR BASED UPON THE RESULTS OF CUSTOMER'S USE OF ANY SAAS SERVICES, DOCUMENTATION, OR SERVICES. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, VSTECS'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  9. INDEMNIFICATION

      Indemnification by VSTECS. VSTECS shall defend Customer against any claim, demand, suit, or proceeding ("Claim") made or brought against Customer by a third party alleging that the use of any SaaS Services as permitted hereunder infringes or misappropriates the intellectual property rights of a third party, and shall indemnify Customer for any damages finally awarded against Customer, and for reasonable attorney's fees incurred by Customer in connection with any such Claim; provided, that Customer (i) promptly gives VSTECS written notice of the Claim; (ii) gives VSTECS sole control of the defense and settlement of the Claim; and (iii) provides to VSTECS all reasonable assistance, at VSTECS's expense.

      Mitigation of Infringement Action. If Customer's use of any SaaS Services is, or in VSTECS' reasonable opinion is likely to become, enjoined or materially diminished as a result of a proceeding arising under Section 9.1 (Indemnification by VSTECS), then VSTECS will either: (i) procure the continuing right of Customer to use the SaaS Services; (ii) replace or modify the SaaS Services in a functionally equivalent manner so that it no longer infringes; or if, despite its commercially reasonable efforts, VSTECS is unable to do either (i) or (ii), VSTECS will (iii) terminate Customer's right with respect to the SaaS Services and refund to Customer all unused Subscription Fees pre-paid by Customer with respect to such SaaS Services.

      Limited Remedy. This Section 9 states VSTECS' sole and exclusive liability, and Customer's sole and exclusive remedy, for the actual or alleged infringement or misappropriation of any third-party intellectual property right by any SaaS Services.

      Indemnification by Customer. Customer shall defend VSTECS against any Claim made or brought against VSTECS by a third party alleging that Customer Data, or Customer's use of the Services in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify VSTECS for any damages against, and for reasonable attorney's fees incurred by, VSTECS in connection with any such Claim.

      Exclusions from Obligations. VSTECS will have no obligation for any infringement or misappropriation to the extent that it arises out of or is based upon (i) use of an SaaS Services by Customer in combination with other products or services; (ii) use of an SaaS Services by Customer for purposes not intended or outside the scope of the license granted to Customer; (iii) Customer's failure to use an SaaS Services in accordance with instructions provided by VSTECS; or (iv) any modification of an SaaS Services not made or authorized in writing by VSTECS.

  10. LIMITATIONS OF LIABILITY

      VSTECS DOES NOT HAVE ANY LIABILITY TOWARDS CUSTOMER FOR ANY DAMAGES CAUSED BY (i) THE USE OR INABILITY TO USE ANY SAAS SERVICES, DOCUMENTATION, OR SERVICES, (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, (iii) ACCURACY OF DATA TRANSFERRED TO ANY OTHER SOFTWARE OR SERVICE, OR (iv) INSTANCES IN WHICH CUSTOMER DATA STORED OR COMMUNICATED THROUGH ANY SAAS SERVICES IS ACCESSED BY THIRD PARTIES THROUGH ILLEGAL OR ILLICIT MEANS; INCLUDING WITHOUT LIMITATION SITUATIONS IN WHICH CUSTOMER DATA IS ACCESSED THROUGH THE EXPLOITATION OF SECURITY GAPS, WEAKNESSES, OR FLAWS THAT MAY EXIST; (iv) VIRUSES OR OTHER MALICIOUS PROGRAMS, HACKER ATTACKS, MAN-MADE SABOTAGE NOT CAUSED BY US, ANY UNAUTHORIZED ACCESS, TAMPERING OR USE, POWER SIGNAL INTERRUPTIONS, OPERATIONAL ERRORS, NETWORK COMMUNICATION FAILURES OR INTERRUPTIONS, NETWORK CONGESTION, SYSTEM DOWNTIME FOR MAINTENANCE OR UPGRADE, THIRD-PARTY SERVICE DEFECTS, ETC.; (v) ANY FORCE MAJEURE EVENTS; (vi) CHANGES IN LAWS AND REGULATIONS OR MAJOR CHANGES IN THE REGULATORY REQUIREMENTS OF THE COMPETENT AUTHORITIES THAT MAY NEGATIVELY AFFECT THE PERFORMANCE OF THE SERVICES; OR (VII) OTHER CIRCUMSTANCES THAT ARE NOT THE FAULT OF, ARE BEYOND CONTROL OF, OR THAT ARE UNFORESEEABLE BY VSTECS.

    • 10.2. 
      Disclaimer of Indirect Damages. IN NO EVENT SHALL VSTECS HAVE ANY LIABILITY TO CUSTOMER FOR LOST PROFITS OR REVENUES, OR FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER INCURRED BY A THIRD PARTY OR CUSTOMER, AND WHETHER OR NOT THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL VSTECS' AGGREGATE, CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY CUSTOMER HEREUNDER IN THE SIX MONTHS PRECEDING THE INCIDENT. THE FOREGOING SHALL NOT LIMIT CUSTOMER'S PAYMENT OBLIGATIONS UNDER SECTIONS ENTITLED "PAYMENT AND FEES" AND "TERM, RENEWAL, AND TERMINATION."

      The foregoing disclaimer and limitation of liability shall not exclude or limit any VSTECS's liability for (a) personal injury or (b) property damages caused by willful conduct or gross negligence of VSTECS, and shall not apply to the extent prohibited by applicable law.

  11. GENERAL

      Relationship. VSTECS will be and act as an independent contractor (and not as the agent or representative of Customer) in the performance of this Agreement.

      Assignability. Customer may not assign, transfer, delegate or sublicense any of Customer's rights or obligations under this Agreement without VSTECS's prior written consent. Any such attempted delegation, assignment, transfer or sublicense shall be void and a breach of this Agreement. VSTECS may assign this Agreement without the Customer's prior written consent to its Licensors.

      Subcontractors. VSTECS may utilize a subcontractor or other third party to perform its duties under this Agreement so long as VSTECS remains responsible for all of its obligations under this Agreement.

      Third Party Beneficiaries. The parties agree that VSTECS' third party Licensors are intended beneficiaries of this Agreement and have the right to rely upon and directly enforce its terms with respect to the products of such Licensors. To the extent that VSTECS claims against the Customers, and Licensors may become beneficiaries in such claims, VSTECS is entitled to allow Licensors to become beneficiaries.
      第三方受益人。双方同意 VSTECS 的第三方许可方为本协议的预期受益人,有权依赖本协议并直接执行对与该等许可方的软件产品相关之条款。如果 VSTECS 针对客户进行索赔,并且许可方可能成为此类索赔的受益人, VSTECS 有权允许许可方成为受益人。
    • 11.5. 
      Marketing. Customer agrees that while this Agreement is in effect, VSTECS shall be authorized to identify Customer as a customer/end-user of the Services in public relations and marketing materials.
      市场营销。用户同意,在本协议有效期内, VSTECS 有权在公共关系和营销材料中将客户指明为服务的客户或最终用户。
    • 11.6. 
      Notices. Except as otherwise provided herein, all notices to the parties shall be sent to the addresses listed on the Quote. Each party may give notice by means of written communication sent by pre-paid post or courier or by email to the other party. Notices addressed, as indicated above will be effective upon the earlier of (a) actual receipt, (b) three (3) days after posting, if sent by pre-paid mail, (c) the next business day, if sent by courier, or (d) if sent by email, 12 hours after dispatch. In addition, VSTECS may post notices or messages on VSTECS's website to inform Customer of changes to the Services, or other matters of importance; VSTECS shall inform Customer of such broadcast by email. Such notice or message on the website shall be deemed to have been provided to a User the next time the User logs onto the website or access the SaaS Services. Either party may change its address for receipt of notice by notice to the other party in accordance with this Section 11.6.
      通知。除本协议另有规定外,双方的所有通知均应发送至报价单中列出的地址。每一方均可通过预付邮件、快递或电子邮件的方式向另一方发出书面通知。上述地址的通知将在以下情况中的较早者生效:(a)实际收到,(b)如果是预付邮件,在邮寄后三(3)天;(c)如果是快递邮寄,在快递发出后下一个工作日,或(d)通过电子邮件发送,则在发送后 12 小时。此外,VSTECS 可通过 VSTECS 网站发布通知或消息,将服务的更改或其他重要事项通知客户;VSTECS 应通过邮件向客户告知此公告。在用户下次登录网站或访问 Saas 服务时,网站上的此类通知或消息将被视为已向用户送达。任何一方都可以根据本第 11.6 条向另一方发出通知,以更改其接收通知的地址。
    • 11.7. 
      Force Majeure. If a party cannot perform its obligations under this Agreement due to a Force Majeure event, it shall, within thirty (30) days upon occurrence of such an event, notify the other party and provide to the other party reasonable proof of the nature of the Force Majeure event and of its effect on the performance of the party's obligations under this Agreement. Except for payment obligations for Services rendered, neither party shall be liable in damages for any delay or default in performing hereunder if such delay or default is caused by a Force Majeure event. If a Force Majeure event lasts more than sixty (60) days, either party may by written notice to the other party terminate this Agreement.
      不可抗力。如果一方因不可抗力事件而不能履行其在本协议项下的义务,则该方应在不可抗力事件发生后三十(30)日内通知另一方,并向另一方提供有关不可抗力事件性质及其对其履行本协议项下义务的影响的合理证据。除服务相关的付款义务外,如果本协议项下的任何延迟或违约是由不可抗力事件造成的,则任何一方都不承担损害赔偿责任。如果不可抗力事件持续超过六十(60)日,任何一方均可书面通知另一方终止本协议。
    • 11.8. 
      Governing Law and Dispute Resolution. This Agreement shall be governed in accordance with the laws of the People's Republic of China. Any and all disputes, controversy, or claims related to or arising in connection with this Agreement will first be referred to the parties for negotiation. If this negotiation does not resolve the dispute within thirty (30) days, the parties hereto agree to submit the dispute to the competent people's court where VSTECS resides.
      适用法律和争议解决。本协议受中华人民共和国法律管辖。与本协议有关的或因本协议引起的任何和所有争议、冲突或索赔,应首先由双方进行协商解决。如果在三十(30)天内未能协商解决争议,双方同意将争议提交 VSTECS 住所地有管辖权的人民法院。
    • 11.9. 
      Waiver. The waiver by either party of any breach of any provision of this Agreement does not waive any other breach. The failure of any party to insist on strict performance of any covenant or obligation in accordance with this Agreement will not be a waiver of such party's right to demand strict compliance in the future, nor will the same be construed as a novation of this Agreement.
      豁免。任一方对本协议任何条款的任何违约行为的豁免并不豁免任何其他违约行为。任何一方未能按照本协议要求严格履行任何契约或义务,并不意味着该方放弃了在未来要求严格遵守的权利,也不被视为对本协议的更新。
    • 11.10. 
      Severability. Should any term and condition hereof be declared illegal or otherwise unenforceable, it shall be severed from the remainder of this Agreement without affecting the legality or enforceability of the remaining portions.
      可分割性。如果本协议的任何条款和条件被宣布为非法或不可执行,则该条款和条件应与本协议的其余部分分割,不影响其余部分的合法性或可执行性。
    • 11.11. 
      Amendments. The terms of this Agreement may not be modified except by a written agreement signed by both parties.
      修改。除非双方签署书面协议否则本协议条款不得修改。
    • 11.12. 
      Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
      副本。本协议可以签署两份或更多份,每一份都应被视为正本,但所有文件都应共同构成一份相同的文书。
    • 11.13. 
      Entire Agreement. This Agreement and the exhibits or attachments, if any, constitutes the entire agreement between the parties hereto regarding Customer's use of each SaaS Services and receipt of all Services and supersedes and replaces all prior agreements, representations, warranties, statements, promises, information, arrangements, and understandings, whether oral or written, express or implied, with respect to the subject matter hereof.
      协议完整性。本协议及附件(如有)构成双方之间关于客户使用每项 SaaS 服务和接受所有服务的完整协议,并取代和代替之前所有关于本协议主题的口头或书面、明示或暗示的协议、陈述、保证、声明、承诺、信息、安排和谅解。
    • 11.14. 
      Language. This Agreement is written in English and Chinese. The Chinese language shall prevail in the case of any conflict or inconsistency between both versions.
      语言。本协议以英文和中文书写。如果两个版本之间有任何冲突或不一致,应以中文为准。
